End User License Agreement

1. License Grant

LiteSecurity (“LiteSecurity”) grants you a non-exclusive, non-transferable, limited right to install and use the licensed Product (LiteGRC and/or LiteAI) in accordance with the terms of this End User License Agreement (“EULA”) and the applicable Terms of Service.

2. License Key Terms

• One license key is issued per product per organization upon purchase or trial creation.
• License keys are cryptographically signed and encode your tier, limits, features, and expiration date.
• License keys are version-independent — the same key works across all versions released during your subscription period.
• You must not share, publish, or distribute your license key. Each key is tied to a specific organization.

3. Scope of Use

Your license authorizes use of the Product within the limits of your purchased tier:

• LiteGRC: one instance per organization. MSP tiers allow deployment for multiple client organizations as specified in your subscription.
• LiteAI: up to the number of devices specified in your subscription per organization. A “device” is any endpoint whose AI traffic routes through the LiteAI gateway. A soft limit of 2,500 devices per organization applies; contact sales for higher volumes.

4. Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the Products
• Redistribute, sublicense, lease, or rent the Products to third parties (except as permitted under MSP tiers)
• Remove or alter any license verification mechanisms
• Remove, alter, or obscure any proprietary notices or labels in the Products
• Use the Products to develop a competing product or service
• Share your license key with unauthorized parties
• Circumvent usage limits, device counts, or organization counts encoded in your license

5. Self-Hosted Deployment

You deploy the Products on your own infrastructure (on-premises or cloud). You are solely responsible for:

• Provisioning and maintaining the required infrastructure
• Securing the deployment environment (network, access controls, encryption)
• Data backups and disaster recovery
• Ensuring the infrastructure meets the Product's system requirements

LiteSecurity is not responsible for issues arising from your infrastructure, including but not limited to data loss, security breaches, or downtime.

6. Updates and Upgrades

During your active subscription period, you are entitled to all updates and upgrades released for your licensed Product(s). Updates are installed by pulling the latest Docker images and restarting your deployment. Your existing license key remains valid — no re-purchase or key regeneration is required.

LiteSecurity will use commercially reasonable efforts to maintain backward compatibility. In the event of a breaking change that removes functionality or changes behavior in a way that is not backward compatible, LiteSecurity will provide at least 90 days' notice and maintain the prior version's availability during that period.

7. License Verification

License verification is performed locally using offline cryptographic validation. The Products also send periodic heartbeat pings to LiteSecurity containing only: license ID, product version, and timestamp. These heartbeats are used to verify license validity and do not contain any user data or telemetry. See our Privacy Policy for details on how heartbeat data is handled.

8. License States

Your license transitions through the following states based on subscription status:

LiteSecurity will send email notifications to the account holder at each license state transition. Renewing your subscription at any point restores full access immediately.

9. Audit Rights

LiteSecurity reserves the right, upon at least 15 days' prior written notice, to audit your use of the Products to verify compliance with the scope of your license (including organization count, device count, and tier). You agree to cooperate with such audits and provide reasonable access to relevant usage data. Audits will be conducted during normal business hours and no more than once per 12-month period, unless a prior audit revealed non-compliance. LiteSecurity will bear the cost of the audit unless the audit reveals material non-compliance (exceeding licensed usage by more than 5%), in which case you shall bear the reasonable cost of the audit and promptly purchase additional licenses to cover the excess usage.

10. Intellectual Property

LiteSecurity retains all rights, title, and interest in and to the Products, including all intellectual property rights. This EULA does not grant you any ownership rights in the Products. All rights not expressly granted herein are reserved by LiteSecurity.

11. Feedback

Any feedback, suggestions, ideas, enhancement requests, or recommendations you provide regarding the Products (“Feedback”) may be used by LiteSecurity without any obligation, compensation, or restriction. You grant LiteSecurity a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate Feedback into the Products or any other LiteSecurity offerings.

12. No Warranty

THE PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LITESECURITY DOES NOT WARRANT THAT THE PRODUCTS WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LITESECURITY'S TOTAL LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO LITESECURITY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. LITESECURITY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

14. Indemnification

Indemnification obligations are set forth in the Terms of Service, Section 16 (Indemnification), which applies to your use of the Products under this EULA. In the event of a conflict between this EULA and the Terms of Service regarding indemnification, the Terms of Service shall prevail.

15. Termination

Subscription Expiry

If your subscription is not renewed, your license will transition through the Grace and Degraded states described in Section 8 before becoming Invalid. This EULA terminates when your license enters the Invalid state (14+ days after subscription expiry).

Voluntary Termination

If you voluntarily cancel your subscription, your access continues until the end of the current billing period, after which your license key will be invalidated and this EULA terminates.

Termination for Breach

LiteSecurity may terminate this EULA immediately if you materially breach any of its terms, including but not limited to the restrictions in Section 4.

16. Effect of Termination

Upon termination of this EULA:

• Your license key will be invalidated and the Products will cease to function.
• You must stop using the Products and delete all copies of the software from your infrastructure.
• Your data remains on your infrastructure and is your responsibility. LiteSecurity has no obligation to maintain, export, or provide access to your data.

17. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Florida, consistent with the Terms of Service. Dispute resolution is governed by Section 18 of the Terms of Service.

18. Survival

The following sections shall survive termination or expiration of this EULA: Section 4 (Restrictions), Section 9 (Audit Rights), Section 10 (Intellectual Property), Section 11 (Feedback), Section 12 (No Warranty), Section 13 (Limitation of Liability), Section 14 (Indemnification), Section 16 (Effect of Termination), Section 17 (Governing Law), and this Section 18 (Survival).

19. Changes to This EULA

We may update this EULA from time to time. We will provide at least 30 days' notice of material changes via email to the address associated with your account. Your continued use of the Products after the effective date of the updated EULA constitutes acceptance. If you do not agree to the updated EULA, you must stop using the Products before the effective date.

20. Severability

If any provision of this EULA is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from this EULA. The remaining provisions shall continue in full force and effect.

21. Entire Agreement

This EULA, together with the Terms of Service, constitutes the entire agreement regarding your license to use the Products. In the event of a conflict between this EULA and the Terms of Service, the Terms of Service shall prevail.
